Financial and commercial transaction advisory services sought for Saint Paul 2 in Liberia

The Liberia Electricity Corporation (LEC) seeks to engage a Financial and Commercial Transaction Advisor (FCTA) in preparing, procuring, and financing the Saint Paul 2 hydropower project (SP2 HPP). Expressions of interest are invited by 23 April from eligible consulting firms to support the Government of Liberia and other public sector stakeholders through the three anticipated phases of the project’s development, preparation (Preparation), sponsor selection (Procurement) and on to financial close (Financing).

The FCTA will be structured in three distinct phases, aligned to the project’s implementation plan, with Phase I delivered over a 10 month period funded through the Project Preparation Grant, and subsequent phases progressing subject to satisfactory performance, availability of funds, and evolving project needs.

The advisor will ensure the project is structured to be commercially viable, fiscally responsible, and attractive to private sponsors and lenders, while aligned with national priorities. LEC has secured financing from the World Bank under the Saint Paul 2 Hydropower Project.

The greenfield project has been approved for development by 2030 by the Government of Liberia as part of a least-cost generation expansion plan with an installed capacity of 150 MW to 250 MW. SP2 HPP will be the second hydropower facility on the St Paul River, located about 60 km upstream from the existing Mount Coffee station. SP2 HPP is proposed as part of an initial two-phase cascade system, and planned to be operated in run-of-river mode as far as possible under regional climatic conditions (water availability during the dry season will inevitably lead to a form of peaking operation).

The key expertise and experience required of the FCTA include the following:

  1. Financial analysis, with relevant PPP and project finance experience through to financial close;
  2. Sell-side PPP structuring, due diligence, contract negotiation and tendering;
  3. Project planning and management;
  4. Expertise and experience in hydropower IPPs; and,
  5. contract management and as detailed in the below matrix.

Interested applicants should provide at least five reference letters confirming proven Transaction Advisor experience in the development of environmental and social, hydrological, hydraulic and hydropower studies associated with hydro generation equal to or over 100 MW, for each project. In addition they should provide at least three reference letters confirming proven experience in acting as a transaction advisor in hydropower projects equal to or more than 100 MW and in the preparation of financial models, for each project, and at least three reference letters confirming proven experience in achieving financial close in hydropower projects equal to or more than 100 MW, for each project.

The attention of interested consultants is drawn to Section III, paragraphs 3.14, 3.16, and 3.17 of the World Bank’s “Procurement Regulations for IPF Borrowers” (Seventh Edition, September 2025), setting forth the World Bank’s policy on conflict of interest. Consultants may associate with other firms to enhance their qualifications but should indicate clearly whether the association is in the form of a joint venture and/or a sub-consultancy. In the case of a joint venture, all the partners in the joint venture shall be jointly and severally liable for the entire contract. A consulting firm will be selected in accordance with the Quality and Cost-Based Selection (QCBS) method set out in the Procurement Regulations.
